MSRB to Hold Seminar on Continuing Disclosure Submission on June 23, 2010 in Los Angeles
The Municipal Securities Rulemaking Board (MSRB) will be holding a free seminar on June 23, 2010 in Los Angeles, CA for municipal securities issuers and obligated persons about the MSRB’s Electronic Municipal Market Access (EMMA) website and the process for making continuing disclosure submissions. The seminar is geared toward issuers but all members of the municipal securities market are welcome. Agenda topics are described below and MSRB staff will be available at the seminar for questions and answers.
AGENDA TOPICS
I. EMMA Overview
EMMA provides free access to municipal security disclosure documents as well as current market data for municipal securities. MSRB staff will provide an in-depth presentation highlighting information available on EMMA, how to access such information and recent enhancements to the website. In addition, an overview of market data available on EMMA, including trade data, will be provided along with a description of the information displayed.
II. Continuing Disclosure Submissions
EMMA is the official source of annual financial statements and material event disclosures made by municipal securities issuers and obligated persons pursuant to Securities and Exchange Commission Rule 15c2-12. MSRB staff will provide instructions for making these continuing disclosure submissions, along with tips for streamlining this process. Topics to be addressed include the importance of applying the correct CUSIP numbers to a continuing disclosure submission, “controlling” securities, and setting-up groups of securities to facilitate subsequent document submissions.
III. Future Enhancements to EMMA
MSRB staff will preview enhancements planned for EMMA over the course of the next year. These include the proposal to post credit ratings for municipal securities on EMMA as well as SEC-approved enhancements to provide the ability for issuers to voluntarily post preliminary official statements and other pre-sale information on EMMA and the capability for issuers and obligated persons to voluntarily post information relating to the preparation and submission of audited financial statements and/or annual financial information as well as hyperlinks to other disclosure information available from another website.
